    AMIKO ARENA TERMS OF SERVICE Effective Date: May 18, 2026 Last Updated: May 18, 2026

    These Terms of Service (the "Terms") are entered into by and between you and Aurory Project (Sunlight Project Limited), a company incorporated under the laws of the British Virgin Islands with its registered office at 2nd Floor, Ellen L. Skelton Building, Fishers Lane, Road Town, Tortola, British Virgin Islands VG1110 ("Aurory", "Company", "we", "us", or "our").

    These Terms, together with any documents they expressly incorporate by reference (including our Privacy Policy and our Code of Conduct), govern your access to and use of:

    • Amiko Arena, a Web3 PvP video game distributed via the Epic Games Store and through amikoarena.com that runs on the Solana blockchain, including the $AURY utility token, the Aurorians and Amikos NFT collections, additional NFT collectibles, weekly $AURY rewards, the in-Game leaderboard, and the marketplace hosted at app.aurory.io (collectively, the "Web3 Services" or the "Game"); and

    • the amikoarena.com and app.aurory.io websites and any associated applications, content, functionality, and services we make available from time to time

    (collectively, the "Platform").

    Please read these Terms carefully before you start to use the Platform. By accessing or using the Platform, by clicking to accept the Terms when this option is made available to you, or by connecting a wallet to any of our Web3 Services, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, you must not access or use the Platform.



    1. ELIGIBILITY

    1.1 General eligibility. The Platform is offered to users who are acting in compliance with applicable law and are not in breach of any agreement with us or legal obligations to third parties. You must not use the Platform if your account has previously been disabled by us for violations of these Terms or our Code of Conduct.

    1.2 Age requirement. You must be at least 18 years old (or older if required by applicable law in your jurisdiction). Amiko Arena, $AURY rewards, NFT minting and trading, and the app.aurory.io marketplace are not available to anyone under 18.

    1.3 Restricted Jurisdictions. Amiko Arena, $AURY rewards, and the app.aurory.io marketplace are not available to persons located in, residing in, or otherwise connected to the following countries, regions, and territories (the "Restricted Jurisdictions"). The list is grouped by the underlying risk so the rationale is transparent.

    (a) Comprehensively sanctioned by the United States, the European Union, or the United Kingdom: Belarus, Cuba, Democratic People's Republic of Korea (North Korea), Iran, Myanmar (Burma), Russia, Syria, and Venezuela; and the territories of Crimea, Sevastopol, the so-called Donetsk People's Republic, the so-called Luhansk People's Republic, Kherson, and Zaporizhzhia.

    (b) Jurisdictions with an explicit prohibition on, or near-complete restriction of, cryptocurrency, virtual-asset service providers, or play-to-earn token rewards: Afghanistan, Algeria, Bangladesh, Bolivia, China (mainland), Egypt, Iraq, Kuwait, Libya, Morocco, Nepal, North Macedonia, Pakistan, Qatar, and Tunisia.

    (c) FATF "High-Risk Jurisdictions Subject to a Call for Action" (FATF black list): Democratic People's Republic of Korea, Iran, and Myanmar (Burma) (restated for completeness; already listed in (a)).

    (d) Sustained-conflict and active OFAC sanctions-program jurisdictions: Burundi, Central African Republic, Democratic Republic of the Congo, Eritrea, Haiti, Lebanon, Mali, Nicaragua, Somalia, Sudan, South Sudan, Yemen, and Zimbabwe.

    (e) Jurisdictions with a specific play-to-earn or NFT-rewards prohibition, or material regulatory hostility to play-to-earn: France (in light of the JONUM regime under the May 2024 SREN law and ANJ guidance) and the Republic of Korea (South Korea) (in light of Game Rating and Administration Committee policy on convertible in-game economies).

    We verify your location based on IP geolocation, declared residency, sanctions screening of your wallet address, and other reasonable signals. We reserve the right to deny access if we determine that you are connected to a Restricted Jurisdiction. This list is subject to change in response to evolving sanctions regimes, FATF determinations, national crypto regulations, and our internal risk assessment.

    1.4 Two-factor authentication. To use Amiko Arena and our other Web3 Services, you must enable two-factor authentication (2FA) on your Aurory account.

    1.5 Representations. By using the Platform you represent and warrant that you (i) meet the eligibility requirements above, (ii) are legally permitted to use the Platform in your jurisdiction, (iii) are not connected to a Restricted Jurisdiction, and (iv) are not subject to economic sanctions or on any government sanctions list. The ability to access our Platform does not mean that the Platform or your activities through it are legal under the laws relevant to your jurisdiction — that determination is your responsibility.



    2. ACCEPTANCE; CODE OF CONDUCT; PRIVACY POLICY

    These Terms incorporate by reference our Privacy Policy and our Code of Conduct. You must comply with the current version of any rules, guidelines, or instructions specified in any of our products.



    3. LICENSE AND ACCESS

    Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal, non-commercial use of the Platform.

    This license does not include: any resale or commercial use of the Platform's data or contents; collection or use of software information, descriptions, or prices; derivative use of any service or its contents; downloading, copying, or other use of account information for the benefit of any third party; use of framing, data-mining, robots, or similar data-gathering, viewing, and extraction tools. All rights not expressly granted are reserved by us or our licensors.



    4. DISTRIBUTION CHANNELS

    4.1 Epic Games Store distribution. Where you access Amiko Arena via the Epic Games Store, your access is additionally subject to the Epic Games Store EULA and Epic's Blockchain Technology Guidelines. You acknowledge that:

    • Amiko Arena does not use Epic's payment mechanism. All $AURY, NFT, and marketplace transactions in Amiko Arena occur on-chain via your wallet, outside of Epic's payment infrastructure.

    • The app.aurory.io marketplace is not linked from the Epic Games Store page in compliance with Epic's policy. To access the marketplace, navigate to app.aurory.io directly or use the in-Game navigation provided.

    • Epic Games, Inc. operates the Epic Games Store, Epic Account Services, and Epic Online Services and is an independent controller of the data described in our Privacy Policy.

    • Distribution of Amiko Arena via the Epic Games Store does not modify any provision of these Terms.

    4.2 amikoarena.com distribution. Where you access Amiko Arena directly via amikoarena.com (including through the app.aurory.io marketplace), your access is governed by these Terms and the Privacy Policy without any third-party platform terms.



    5. WEB3 SERVICES: GAME-SPECIFIC TERMS

    5.1 Description. Amiko Arena is a PvP video game that runs on the Solana blockchain. It features the Aurorians and Amikos NFT collections, additional NFT collectibles, the $AURY utility token, weekly $AURY rewards based on player performance, an in-Game leaderboard, and an NFT marketplace at app.aurory.io.

    5.2 Wallet requirement and self-custody. To use the Web3 Services, you must connect a Solana-compatible crypto-wallet (e.g., Phantom, Solflare, Backpack, Ledger) that you control. We do not custody your wallet, hold your private keys or seed phrase, or hold your NFTs or $AURY on your behalf. You are solely responsible for the security of your wallet, seed phrase, and private keys. We cannot recover lost keys, and a compromise of your wallet may result in the irreversible loss of $AURY, Aurorians, Amikos, and other NFT collectibles. You may be restricted in your ability to switch wallets once one is associated with your Aurory account.

    5.3 NFT ownership and licensing.

    (a) Aurorians NFT collection. When you purchase or acquire an Aurorian NFT on the Solana blockchain, you become the owner of the underlying NFT and receive the license to the associated artwork ("Visual Representation") described in Section 5.4 below.

    (b) Amikos NFT collection and other Aurory NFT collectibles. The same NFT ownership and license framework applies to Amikos and other Aurory NFT collectibles, subject to the specific license terms applicable to each collection as published at the time of the relevant sale or mint.

    5.4 License to Visual Representation.

    (a) Aurorians license (commercial use). As long as you comply with these Terms and own the Aurorian NFT, Aurory grants you a worldwide, royalty-free, non-exclusive license to use, copy, and display the Aurorian artwork associated with your Aurorian NFT, including for creating derivative works such as merchandise, subject to the limitations below. You may use an Aurory asset to generate a maximum of USD 10,000 in revenue from fanart, tokenized derivative works, or physical merchandise before an official license agreement must be signed with us. Revenue beyond that threshold requires our prior written consent.

    (b) Amikos and other NFT collectibles license. Unless we explicitly publish broader rights for a specific collection, the license for Amikos and other Aurory NFT collectibles is limited to personal, non-commercial display as part of the Aurory Web3 Services and to hold the NFT in your wallet. We retain all commercial rights.

    (c) Restrictions on all NFT licenses. You may not:

    • modify or create derivative works of the Visual Representation in a way that materially alters its shapes, designs, drawings, or attributes (other than as expressly permitted for Aurorians fanart);

    • use the Visual Representation to advertise, market, or sell any third-party product or service;

    • use the Visual Representation in a manner that suggests Aurory's endorsement of any third party;

    • separate, unlink, or decouple the Visual Representation from its underlying NFT;

    • create or sell fractionalized interests in any NFT or its Visual Representation; or

    • attempt to trademark, copyright, or otherwise acquire intellectual-property rights in the Visual Representation that conflict with our retained rights.

    Derivative commercial fanart must (i) not use official Aurory assets such as the Aurory logo, the Amiko Arena logo, the $AURY token logo, or the TOKE/OKA logo; (ii) clearly state that it is "Aurory Fanart"; (iii) link to amikoarena.com; and (iv) link to the Solscan token address of the asset used as inspiration.

    If you transfer or otherwise dispose of an NFT, the license to its Visual Representation terminates immediately and transfers to the new owner subject to these Terms.

    5.5 $AURY token.

    (a) Utility-token classification. $AURY is the utility token associated with Amiko Arena and the Aurory ecosystem. $AURY is intended for in-Game use, marketplace transactions on app.aurory.io, and similar consumer-enjoyment purposes. $AURY is not a security, is not a financial instrument, is not a regulated digital asset, and is not an investment. You represent and warrant that you are not acquiring or earning $AURY for speculative or investment purposes, as a substitute for currency or medium of exchange outside the Aurory ecosystem, or with any expectation of profit derived from the managerial efforts of others.

    (b) Token rewards mechanics. We may calculate and distribute weekly $AURY rewards based on inputs including (but not limited to) your playtime in Amiko Arena, win/loss results, leaderboard placement, and the number of Aurorians, Amikos, and other Aurory NFT collectibles held by your wallet. We may modify the rewards formula at any time, in our sole discretion, including by suspending, reducing, or terminating $AURY rewards.

    (c) No representation of value. We make no representation about the future value of $AURY, and you acknowledge that $AURY's value (if any) may fluctuate and may go to zero. You should not acquire or earn $AURY in reliance on any expected value.

    (d) Taxes. You are solely responsible for any and all taxes claimed or imposed by any governmental authority associated with your earning, holding, transferring, or disposing of $AURY, Aurorians, Amikos, or other Aurory NFT collectibles.

    5.6 app.aurory.io marketplace. The app.aurory.io marketplace allows users to list, buy, and sell Aurorians, Amikos, and other Aurory NFT collectibles using $AURY or other supported Solana-network tokens. Transactions are executed on-chain via smart contract. Royalty fees due to Aurory are deducted on-chain. Marketplace fees applicable to a transaction will be disclosed before you confirm the transaction. Due to the nature of NFTs and the blockchain, no refunds are guaranteed. We may also publish or authorize listings of Aurorians and other collectibles on third-party marketplaces (e.g., Magic Eden, Tensor); your use of those marketplaces is governed by their own terms.

    5.7 Leaderboard. Amiko Arena features a leaderboard tracking player score and placement. Your in-Game username, score, rank, and match results are published on the in-Game leaderboard and on amikoarena.com / app.aurory.io. Leaderboard data is publicly visible. If you do not wish to appear on the leaderboard, do not participate in ranked play. We reserve the right to remove, adjust, or recalculate leaderboard entries to address cheating, bot activity, multi-account exploits, or other behavior that violates these Terms or our Code of Conduct.

    5.8 Risks of the Web3 Services. By using the Web3 Services, you acknowledge that:

    • the Solana blockchain is a nascent technology that may involve risks and is outside our control;

    • on-chain transactions are irreversible and we cannot reverse, cancel, or modify them;

    • the blockchain may be subject to cybersecurity threats, smart-contract bugs, downtime, forks, and other risks;

    • the regulatory regime applicable to blockchain, crypto-assets, NFTs, and play-to-earn tokens is evolving (including the EU Markets in Crypto-Assets Regulation (MiCA), FATF travel-rule requirements, and equivalent regimes in other jurisdictions). New or changing regulations may materially affect the qualification, transferability, viability, or value of $AURY, the Aurorians, the Amikos, and other Aurory NFT collectibles. We are not responsible for any losses you may incur as a result of such regulatory developments;

    • you are solely responsible for secure storage of your wallet private keys; and

    • losses from forgotten passwords, mistyped addresses, incorrectly constructed transactions, server failure, corrupted wallet files, or unauthorized third-party activity are your sole responsibility.

    5.9 Third-party Web3 services. The Web3 Services rely on third-party wallet providers, the Solana network, third-party marketplaces (e.g., Magic Eden, Tensor), Epic's anti-cheat and online services where applicable, and other infrastructure. We provide links to these third-party services as a convenience and do not review, approve, monitor, or endorse them. Your use of third-party services is governed by their own terms and policies.

    5.10 Consequences of Game shutdown or termination of Web3 Services. We do not warrant that we will operate the Web3 Services or Amiko Arena, in whole or in part, for any specific period. If we decide to stop operating the Web3 Services, we will provide reasonable prior notice. Even if we stop operating, you will continue to own any Aurorians, Amikos, and other Aurory NFT collectibles stored in your wallet, because these are stored on the Solana blockchain independent of our infrastructure. However, your license to use the Visual Representation as in-Game content will partially cease, without liability to us, because the Game in which the asset is used may no longer be available. Your $AURY token will continue to exist on-chain.



    6. ACCESSING THE PLATFORM AND ACCOUNT SECURITY

    To access the Platform you may be asked to provide login information (username, password, Epic Account authentication, social-media login) ("Login Info") and to connect a Solana-compatible wallet ("Wallet"). It is your sole responsibility to maintain the security of your Login Info and your Wallet. You are responsible for all activity transacted on the Platform through your Login Info or Wallet, and you must not allow anyone else to use your account or Wallet on your behalf.

    We will use commercially reasonable technical and physical safeguards to make the Platform securely available, but we do not warrant that the Platform will be available at all times or free from defects.



    7. FEES AND PAYMENTS

    We may charge fees associated with the use of the Platform. Because Amiko Arena does not use Epic's payment mechanism, fees and in-game purchases are paid using $AURY, other supported Solana-network tokens, or, where we offer such options, supported cryptocurrencies via your wallet. For app.aurory.io marketplace transactions, marketplace fees and Aurory royalties are deducted on-chain via smart contract and will be disclosed before you confirm a transaction.

    In order to transact on the Platform, you may be required to provide information necessary to verify your identity, comply with applicable laws (including anti-money-laundering and counter-terrorism-financing requirements), manage settlements, and assess fraud and risk. We may use third-party payment-services providers and on-chain analytics/sanctions-screening vendors to assist us.

    You authorize us to verify the information you provide, including through reports from third-party sources. You agree to comply with all applicable laws, regulations, and the terms and conditions of your chosen payment methods. Due to the nature of NFTs and the blockchain, no refunds are guaranteed.



    8. REFERRAL PROGRAM

    The referral program allows eligible participants to earn bonuses by referring new users to Amiko Arena. Eligible participants are individuals with a valid Aurory account who have agreed to these Terms. A valid referral is an individual who creates a new Aurory account using a referral link and was not previously a user.

    Referrers earn a referral bonus of 10% of their referees' weekly in-Game $AURY rewards for a period of 180 days starting from the date of the referred user's account creation, calculated weekly and paid weekly in $AURY. Referrers are prohibited from offering incentives or rewards to individuals in exchange for using their invite link; any referrer found doing so will be disqualified from the program.

    The referral bonus is non-transferable and is subject to the same terms and sanctions as the referred individual's weekly $AURY rewards. We reserve the right to change the bonus percentage, change the bonus duration, or terminate the referral program at any time and without notice. The current bonus percentage can be found at app.aurory.io/profile. We reserve the right to disqualify any participant from the program at any time for any reason, including violations of these Terms.



    9. PROHIBITED USES

    You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

    • in any way that violates any applicable federal, state, local, or international law or regulation (including export-control, sanctions, anti-money-laundering, gambling, and securities laws);

    • for the purpose of exploiting, harming, or attempting to exploit or harm minors;

    • to circumvent any Platform security or access controls (including geo-blocking of Restricted Jurisdictions);

    • to impersonate Aurory, our employees, another user, or any other person or entity;

    • to transmit or exchange goods, services, payments, or Digital Assets that are the direct or indirect proceeds of any illegal, criminal, or fraudulent behavior;

    • in any manner that could disable, overburden, damage, or impair the Platform;

    • in combination with any robot, spider, bot, scraper, or other automated device or process, except as expressly authorized by us;

    • to introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material;

    • to infringe the intellectual-property rights of third parties or of Aurory;

    • to manipulate the outcome of any Amiko Arena match, including match-fixing, win-trading, collusion, or other rewards-system abuse;

    • to operate games of chance, lotteries, or gambling using the Platform or any in-Game currency, $AURY, or NFTs;

    • to engage in wash trading, market manipulation, or other artificial activity on app.aurory.io;

    • to use multi-accounting, alternative accounts, sybil attacks, or bot networks to artificially increase $AURY rewards or leaderboard placement (in general, you must wait 24 hours between logging out of one account and logging into another on the same device); or

    • to exploit any glitch, bug, or unintended Game behavior that provides an unfair advantage.

    We reserve the right to issue warnings, suspend or close your account, reset your in-Game $AURY rewards, void leaderboard placement, and/or suspend or close your ability to use one or more Services, at any time and based on prohibited conduct.



    10. MONITORING AND ENFORCEMENT

    We reserve the right to:

    • take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Platform;

    • terminate or suspend access to all or part of the Platform for any or no reason, including any violation of these Terms;

    • remove or forfeit in-Game $AURY rewards, leaderboard placement, or NFT-utility benefits for any violation of these Terms or our Code of Conduct;

    • cooperate fully with law-enforcement requests or court orders requiring disclosure of the identity or activity of anyone using the Platform.

    You waive and hold harmless Aurory and its affiliates, licensees, and service providers from any claims resulting from any action taken by any of the foregoing parties during or as a result of investigations.



    11. INTELLECTUAL PROPERTY RIGHTS

    The Aurory name, the Amiko Arena name and logo, the $AURY token logo, the TOKE/OKA logo, the Aurorians and Amikos collections, and other related trademarks or service marks are our exclusive property and may not be used without our prior written consent. No right, title, or interest in or to the Platform or its content is transferred to you except as expressly stated in these Terms.

    When you provide user contributions through the Platform (directly or indirectly), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable (through multiple tiers) right to use, modify, copy, publicly perform, publicly display, reformat, translate, excerpt, publish, and distribute your contributions in connection with our provision, expansion, and promotion of the Platform, in any media now known or developed in the future. You warrant that you are the exclusive copyright and rights holder of all intellectual-property rights in your contributions.



    12. DATA PRIVACY

    Our processing of your personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy explains how we process your wallet address, on-chain transaction data, leaderboard data, and other personal data in connection with the Web3 Services, and how we handle the EDPB-recognized limitations on the right to erasure when data is recorded on-chain.



    13. DISCLAIMER OF WARRANTIES

    THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM (INCLUDING $AURY, AURORIANS, AMIKOS, AND OTHER AURORY NFT COLLECTIBLES) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AURORY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

    WHILE WE ATTEMPT TO MAKE YOUR USE OF DIGITAL ASSETS SAFE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE DIGITAL ASSETS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE DIGITAL ASSETS. WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS OR MALFUNCTION OF DIGITAL ASSETS, INCLUDING ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM USER ERROR (SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED ADDRESSES), SERVER FAILURE OR DATA LOSS, CORRUPTED WALLET FILES, UNAUTHORIZED ACCESS TO APPLICATIONS, OR UNAUTHORIZED THIRD-PARTY ACTIVITY.

    THE FOREGOING DOES NOT AFFECT ANY WARRANTIES OR STATUTORY CONSUMER RIGHTS THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.



    14. LIMITATION OF LIABILITY

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AURORY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY THIRD-PARTY PLATFORMS LINKED TO IT, ANY BLOCKCHAIN PROGRAMS OR DECENTRALIZED APPLICATIONS, ANY LOSS OF FUNDS OR COLLATERAL, ANY CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, AND LOSS OF GOODWILL), WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

    OUR MAXIMUM AGGREGATE LIABILITY (AND THAT OF OUR AFFILIATES) FOR ALL DAMAGES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO AURORY DURING THE TWELVE (12) MONTHS PRIOR TO THE OCCURRENCE OF THE DISPUTE, OR (B) USD 100.

    THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (INCLUDING CONSUMER-PROTECTION LAW IN THE EU/UK).



    15. INDEMNIFICATION

    You agree to pay the costs of defense and indemnify and hold harmless Aurory, its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, successors, and assigns, from and against any claims, liabilities, damages, judgments, losses, costs, debts, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of any third-party right; (b) your provision of false or misleading information; (c) your violation of any law or regulation (including sanctions, anti-money-laundering, gambling, or securities laws); (d) your violation of these Terms; (e) your breach of any representation or warranty; (f) your negligent or willful misconduct; or (g) your use of or access to the Platform.



    16. DISPUTE RESOLUTION

    16.1 Informal negotiations. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute"), the parties agree to attempt to resolve any Dispute informally for at least thirty (30) days before initiating arbitration.

    16.2 Binding arbitration. If a Dispute is not resolved through informal negotiations, the Dispute (except those expressly excluded in Section 16.3) will be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer-Related Disputes. The arbitration may take place in the British Virgin Islands.

    16.3 Exceptions. The following Disputes are not subject to informal negotiations and binding arbitration: (a) Disputes seeking to enforce or protect, or concerning the validity of, any intellectual-property rights of a party; (b) Disputes related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.

    16.4 Class-action waiver. YOU AGREE THAT ANY DISPUTE WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This waiver does not apply where prohibited by applicable consumer-protection law.

    16.5 Consumer-law carve-out. Nothing in this Section 16 restricts, excludes, or modifies any statutory consumer rights you have under applicable law (including the right to bring proceedings in your local courts under EU consumer law).



    17. LIMITATION ON TIME TO FILE CLAIMS

    Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action or claim is permanently barred. Where a longer period is required by applicable consumer law, that longer period applies.



    18. CHANGES TO THESE TERMS

    We may revise and update these Terms at our sole discretion. Except where required by law, we will notify you of material changes and give you an opportunity to review the updated Terms before they take effect. Once the updated Terms are in effect, your continued use of the Platform constitutes acceptance.



    19. TERMINATION

    These Terms are effective indefinitely unless terminated as described below. We may terminate these Terms by giving fourteen (14) days' written notice to your registered email address. We may also terminate immediately or on shorter notice if: (a) required by law or a court order; (b) a governmental authority requires us to do so to comply with anti-money-laundering or counter-terrorism financing obligations; (c) we have reasonable grounds to believe you are carrying out a prohibited or illegal activity; (d) we are unable to verify your or your business's identity; or (e) you are in material breach of these Terms or our Code of Conduct.

    In the event of termination of your Aurory account, you may be given an opportunity to withdraw any in-Game items, $AURY, or NFTs prior to the effective date of termination, subject to applicable law and any disciplinary actions associated with the termination.

    Termination does not affect the rights or liabilities of either party accrued prior to termination.



    20. FORCE MAJEURE

    We will not be liable for any failure or delay in performance to the extent caused by or resulting from force majeure events ("Force Majeure Event"), including acts of God, flood, fire, epidemics, pandemics, natural disasters, explosion, war, hostilities, civil unrest, government action, industrial disturbances, shortage of adequate Internet connectivity, telecommunication or utilities breakdown, blockchain network outage or fork, and other similar events beyond our reasonable control.



    21. DIGITAL MILLENNIUM COPYRIGHT ACT

    We comply with the Digital Millennium Copyright Act of 1998, as amended ("DMCA"). If you believe that your work has been copied, posted, or otherwise made available through the Platform in a way that constitutes copyright infringement, please notify our DMCA Copyright Agent in writing with the information required by the DMCA. Repeat offenders may have their access to the Platform terminated.

    22. WAIVER AND SEVERABILITY

    No waiver by Aurory of any term in these Terms is a further or continuing waiver of that term or any other term. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.



    23. ENTIRE AGREEMENT

    These Terms, the Privacy Policy, and the Code of Conduct constitute the sole and entire agreement between you and Aurory with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.



    24. ASSIGNMENT

    We may assign our rights and obligations under these Terms at our sole discretion. We will notify you of any such assignment.
